URANIUMX DISCOVERY CORP. ANNOUNCES NON-BROKERED LIFE OFFERING
VANCOUVER, BRITISH COLUMBIA – January 22, 2026 – UraniumX Discovery Corp. (CSE: STMN) is pleased to announce a non-brokered private placement of up to 7,500,000 units of the Company at a price of $0.20 per unit for gross proceeds of up to $1,500,000. Each Unit will consist of one common share of the Company to be issued pursuant to Part 5A (the Listed Issuer Financing Exemption) of National Instrument 45-106 – Prospectus Exemptions, and one common share purchase warrant of the Company.
Each Warrant will entitle the holder to acquire one common share at a price of $0.30 per warrant share for a period of 36 months from the date of issuance. The Warrants will be exercisable 60 days following the closing date of the Offering.
Use of Proceeds
The Company intends to use the net proceeds raised from the Offering for general working capital and corporate purposes, including transaction costs, and amounts allocated for future exploration and development activities on its Murphy Lake Property, Zoo Bay Property, and Neocore Property.
Offering Details
Subject to compliance with applicable regulatory requirements and in accordance with NI 45-106 and the policies of the Canadian Securities Exchange (CSE), the Units will be offered for sale to purchasers resident in Canada, other than Quebec, pursuant to the Listed Issuer Financing Exemption and will not be subject to resale restrictions in accordance with applicable Canadian securities laws.

The closing of the Offering will take place on or before February 13, 2026. Closing is subject to certain conditions including receipt of all necessary regulatory and exchange approvals.
